Disclosure Document
Washington Resources Limited ACN 097 532 137 ("Company") has lodged a Short Form Prospectus dated 27 January 2005 ("Short Form Prospectus") with the Australian Securities & Investments Commission ("ASIC"). A supplementary prospectus ("Supplementary Prospectus") was dated 1 March 2006 and lodged on that date and is intended to be read with the Prospectus. Pursuant to section 719(4) of the Corporations Act 2001, the Short Form Prospectus is taken to include the Supplementary Prospectus.
The Short Form Prospectus incorporates by reference several sections of the prospectus lodged on 19 August 2005 with ASIC (“IPO Prospectus”). The IPO Prospectus is available on this website for that purpose only.
The Short Form Prospectus, incorporating the relevant sections of the IPO Prospectus and other documents referred to therein, is below referred to as “Prospectus”.
The Prospectus is available on this website for information purposes only. The Prospectus has been issued to inform shareholders in relation to the Company's Entitlements Issue, for which a prospectus is required under the Corporations Act 2001.
The Prospectus is an important document that should be read in its entirety. If you do not understand the Prospectus you should seek advice from your accountant, solicitor or other professional adviser before making an application. By accessing the Prospectus you acknowledge reading and agreeing to the terms set out below.
Persons to whom the offer is made
The Prospectus does not constitute an offer or invitation in any place outside Australia where, or to any person to whom, it would be unlawful to make such an offer or extend such an invitation. The distribution of the Prospectus in jurisdictions outside Australia may be restricted by law and, therefore, persons who come into possession of the Prospectus should seek advice on and observe any such restrictions. Any failure to comply with these restrictions may constitute a violation of applicable securities laws.
Exposure Period
In accordance with Chapter 6D of the Corporations Act 2001, the Prospectus is subject to an exposure period of 7 days from the date of lodgment with ASIC. This period may be extended by ASIC for a further period of up to 7 days. The purpose of this exposure period is to enable examination of the Prospectus by market participants prior to the acceptance of applications and the raising of funds. That examination may result in the identification of deficiencies in the Prospectus and, in those circumstances, any application that has been received may need to be dealt with in accordance with section 724 of the Corporations Act 2001.
Applications for securities under the Prospectus will not be processed until after the expiry of the exposure period. No preference will be conferred upon applications received during the exposure period. All applications received during the exposure period will be treated as if they were simultaneously received on the date on which the offer period opens.
Applications for Securities
Applications can be made by printing and completing the Application Form attached to, or accompanied by, the paper copy of the Prospectus, and then lodging the Application Form and application monies in accordance with the details set out in the Prospectus. A copy of the Application Form can be obtained free of charge by calling the Company on +61 8 9485 0755.
The Corporations Act 2001 prohibits any person from passing to another person the Application Form unless it is attached to or accompanies the complete and unaltered version of the Prospectus.
